These Terms of Use (“Terms”) govern your access to and use of the website smartshipped.com (the “Site”), operated by SmartShipped (“SmartShipped,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

These Terms apply to the Site only. Fulfillment, warehousing, and logistics services are governed by a separate written services agreement between SmartShipped and each customer. In the event of a conflict, the services agreement controls.

1. Use of the Site

You may use the Site for lawful business purposes only. You agree not to:

Use the Site in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to the Site, its servers, or any connected systems
Interfere with or disrupt the operation or security of the Site
Scrape, harvest, or collect information from the Site using automated means without our written permission
Submit false, misleading, or fraudulent information through any form on the Site
Use the Site to transmit spam, malware, or other harmful content

2. Quotes and Information

Pricing, timelines, capabilities, and other information on the Site are provided for general informational purposes and do not constitute a binding offer. Any quote or proposal we provide is subject to confirmation and a signed services agreement. We may change Site content at any time without notice.

3. Intellectual Property

The Site and its content, including text, graphics, logos, images, videos, software, and the SmartShipped and ScanShip names and marks, are owned by SmartShipped or its licensors and are protected by copyright, trademark, and other laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

4. Customer Portal

Access to the ScanShip customer portal is limited to authorized customers and is governed by the applicable services agreement and portal terms. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

5. Third-Party Links and Services

The Site may contain links to third-party websites or services that we do not control. We are not responsible for the content, privacy practices, or availability of those sites. Links are provided for convenience only and do not imply endorsement.

6. Disclaimer of Warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. You agree to indemnify and hold harmless SmartShipped and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.

Your use of the Site is also subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

10. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. Any dispute arising out of these Terms or your use of the Site will be brought exclusively in the state or federal courts located in New Jersey, and you consent to the jurisdiction of those courts.

11. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
